	To be an authorized affiliate of Fidelity Assets, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the Fidelity Assets service as an affiliate. By signing up for the Fidelity Assets affiliate program, you indicate your acceptance of this agreement and its terms and conditions. AFFILIATE MARKETING AGREEMENT Local Connect (www.localconnectnetwork.com) from FIDELITY ASSETS THIS AFFILIATE MARKETING AGREEMENT (“Agreement”) is entered into as of August 1, 2007 by and between FIDELITY ASSETS, located at 280 S. Beverly Drive, Suite 312, Beverly Hills, CA 90212 (“FIDELITY”) and AFFILIATE. The parties hereby agree as follows: Recitals FIDELITY wishes to invite Affiliate to participate in its Affiliate Sales and Marketing Program (“Affiliate Marketing Program”), and Affiliate wishes to participate in the Affiliate Marketing Program set forth herein, whereby the Affiliate will earn revenue generated by sales on a per-customer basis, for those customers who arrive on Local Connect (www.localconnectnetwork.com) through those links, or are individually referred by Affiliate as specified below. 1. FIDELITY Obligations. (a) FIDELITY shall provide Affiliate with FIDELITY’s logos, graphics, banners, forms, suggested text, and/or other materials the parties deem appropriate (“Marketing Materials”), as well as an HTML tracking link (“Affiliate Tracking Link”), which will include a link that enables a prospective client or representative of Affiliate’s, on behalf of a prospect, to go from Affiliate’s website(s), email(s), newsletter(s) or other Marketing Materials to Local Connect. Included in this Affiliate Tracking Link will be code containing a unique Affiliate identification for tracking purposes. (b) FIDELITY shall provide reporting and payment to Affiliate for all clients sent by Affiliate through the Affiliate Tracking Link or from a “Prospect Email” or “Sale Email”. (c) FIDELITY shall provide professional Local Search Engine Listing Services to all clients referred by Affiliate. 2. Affiliate Obligations. (a) Link Placement. Affiliate shall place the Affiliate Tracking Link(s) from its website(s) to Local Connect (www.localconnectnetwork.com). The trackable link for an Affiliate-branded version of Local Connect is as follows: • http://www.localconnectnetwork.com/?gaffid=AFFILIATENAME (b) Individual Referrals. Affiliate may send referrals to FIDELITY on an individual (i.e., one prospect at a time) basis. Such referrals shall be communicated to FIDELITY by placing the client’s information through Local Connect using the AFFILIATE trackable URL, http://www.localconnectnetwork.com/?gaffid=AFFILIATENAME, or by sending an email containing the prospect’s name, email address, phone number, and any other pertinent information to prospects@fidelityassets.com (“Prospect Email”) or the client’s name, email address, phone number, valid credit card information and any other pertinent info to localconnectsales@fidelityassets.com (“Sale Email”). (i) The subject line of each Prospect Email shall state the following (or its equivalent): “Local Connect PROSPECT from AFFILIATE”. Only one prospect’s information shall be contained in each Prospect Email. The subject line of each Sale Email shall state the following (or its equivalent): “Local Connect SALE from AFFILIATE” with the details of the sale in the email. Only one customer’s information shall be contained in each Sale Email. (c) Promotional Activities. Affiliate may promote Local Connect via online marketing, emails, newsletters, events and other marketing vehicles that they currently use including but not limited to: (i) Direct Phone Sales. Affiliate may sell the Local Connect service, and place orders directly through the Local Connect website using the Affiliate Tracking Link described in Section 2a. (ii) E-mail. Affiliate may e-mail to its list(s) of customers an introductory promotional message regarding Local Connect and subsequent e-mail messages promoting Local Connect with the intention of driving its members to the Local Connect web site. The Marketing Materials and Affiliate Tracking Link shall be included in any such emails, and Affiliate shall deliver a copy of any such emails to FIDELITY at info@fidelityassets.com. (iii) Newsletter. Affiliate may include promotional messages related to Local Connect in any newsletter(s) to its customers, partners or other contacts. The Affiliate Tracking Link shall be included in any newsletter that mentions Local Connect. (iv) Trade Shows & Events. Affiliate may include Local Connect in trade shows and events as an attendee, exhibitor or sponsor as appropriate (FIDELITY shall be notified a reasonable time in advance of each such event and shall have the option, but not the obligation, to participate), and under terms to be agreed to on an event-by-event basis. (v) Other. Affiliate and FIDELITY may agree to other forms of promotion or joint marketing activities as suits each other’s interest. 3. Revenue Share. FIDELITY will share revenue with Affiliate on sales generated through this Affiliate Marketing Agreement as follows: (a) Qualifying Purchases. FIDELITY shall compensate Affiliate for all customers for which FIDELITY has received valid order and billing information, including valid payment method, for any fees required by FIDELITY for a customer to be considered a valid customer, in FIDELITY’s complete discretion (“Qualifying Purchases”). Qualifying Purchases include, and are limited to, the following: (i) Purchases made online at the Local Connect site, by customers who clicked through via the Affiliate Tracking Link -- www.localconnectnetwork.com/?gaffid=AFFILIATENAME -- to complete the registration; (ii) Purchases made online at the Local Connect site by Affiliate who clicked through via the Affiliate Tracking Link or entered the Affiliate’s tracking code during the sign-up process on behalf of customers to complete the registration; (iii) Purchases made by Affiliate to customers and communicated to FIDELITY in a Sale Email using the Affiliate’s tracking code in the registration process; (iv) Purchases made by FIDELITY to customers who were identified by Affiliate in a Prospect Email using the Affiliate’s tracking code in the registration process. 4. Payments & Commissions. (a) Payments. Affiliate shall be paid a bonus (“Bonus Revenue”) based on the number of sales that FIDELITY generates from each customer who makes a Qualifying Purchase (“Qualifying Customer”) that originate from the AFFILIATE per Appendix A in this agreement. Affiliate will receive Bonus Revenue when 40 sales of Local Connect are completed within a 30 day calendar month (i.e., January 1, 2007 through January 31, 2007). (b) Commission for Completed Sales: FIDELITY will pay Affiliate a sales commission (“Sales Commission”) based on Qualifying Purchases actually received by FIDELITY from sales executed by Affiliate per the schedule in Appendix A in this agreement. In order to ensure full Commissions and Bonus Revenue, sales shall be communicated to FIDELITY via the Affiliate Tracking Link or by sending a Sale Email described in 2(b). If a FIDELITY salesperson is required to complete the sale, an Annuity Commission will not be paid on such sale. (c) Manner of Payment. FIDELITY shall pay Affiliate the compensation payable hereunder, less any taxes required by law to be withheld, on a monthly basis (commencing the month after this Agreement becomes effective), where aggregate payable revenue-share exceeds $100 (One Hundred Dollars), and/or upon termination of this Agreement. Affiliate shall receive timely reports via online login and/or e-mail detailing gross sales generated through the FIDELITY Affiliate Marketing Program and estimated commissions due. The form, content and frequency of the reports may vary in the sole discretion of FIDELITY which shall be exercised in good faith. Right to revise. FIDELITY MAY REVISE THE TERMS OF THIS SECTION AT ANY TIME. AFFILIATE’S CONTINUED PARTICIPATION IN THE FIDELITY-AFFILIATE PROGRAM AFTER RECEIPT FROM FIDELITY OF ELECTRONIC OR OTHER WRITTEN NOTICE OF NEW OR MODIFIED TERMS SHALL BE DEEMED TO BE CONSENT AND ACCEPTANCE OF SAID MODIFICATIONS OR CHANGES. IF ANY SUCH MODIFICATIONS OR CHANGES ARE UNACCEPTABLE TO AFFILIATE, AFFILIATE’S ONLY REMEDY SHALL BE TO TERMINATE THE AGREEMENT IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT. Upon termination, commission residuals will continue to be paid as earned, subject to the terms of the Agreement. 5. Customer Ownership. Affiliate agrees that clients who purchase services through site(s) owned by FIDELITY will be deemed to be customers of FIDELITY for all purposes, subject to FIDELITY’s Terms of Service and other operating procedures concerning customer orders, and customer service. FIDELITY may change its subscription prices at any time, without notice in its sole and absolute discretion. FIDELITY is responsible for all processing, fulfillment and customer service related to its services. Affiliate retains no rights to or responsibility for customers’ purchase services through the Local Connect site. FIDELITY may reject any Qualifying Purchase or other customer services in its sole and absolute discretion. 6. Term and Termination. (a) Term. The term of this Agreement shall commence as of the date first set forth above and shall continue for a period of one (1) year (the “Initial Term”) and shall be automatically renewed for successive one (1) year periods unless terminated by either party. (b) Termination. Either party may terminate this Agreement at any time, with or without cause, for any reason with 30 days written notice. 7. Relationship. FIDELITY and Affiliate may identify Affiliate as an “Affiliate” or “Partner” or “Salesperson” and participant in FIDELITY’s Affiliate Marketing Program. FIDELITY and Affiliate are independent contractors. Affiliate grants FIDELITY the non-exclusive right to use Affiliate’s trademarks and trade names on FIDELITY’s website(s) and in any of its marketing materials. Neither this Agreement nor Affiliate’s participation in the Local Connect Affiliate Marketing Program is intended to create any agency, franchise, sales representative or employment relationship between Affiliate and FIDELITY, and neither party has any authority to make or accept any offers on behalf of the other without prior written consent. Nothing in this Agreement shall be deemed to constitute, create, give effect to or otherwise recognize a partnership, joint venture or formal business entity of any kind or create a fiduciary or similar relationship among the parties; and the rights and obligations of the parties shall be limited to those expressly set forth herein. 8. Force Majeure. Neither party shall be liable for nonperformance or delay in performance (other than of obligations regarding confidentiality) caused by any event reasonably beyond the control of such party including, but not limited to wars, hostilities, revolutions, riots, civil commotion, national emergency, strikes, lock-outs, unavailability of supplies, epidemics, fire, flood, earthquake, force of nature, explosion, embargo, or any other Act of God, or any law, proclamation, regulation, ordinance, or other act or order of any court, government or governmental agency. 9. Assignment. Either party may assign this Agreement, and its rights, licenses and obligations hereunder, without the prior written approval of the other, solely to any acquirer of all or of substantially all of its equity securities, assets or business, or pursuant to any internal re-organization in the sole discretion of the re-organizing party. Any attempted assignment in violation of this Section will be void and without effect. Subject to the foregoing, neither party may sell, assign, transfer or otherwise convey any of its rights or delegate any of its duties under this Agreement without the prior written consent of the other party. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. 10. Notices. Notices under this Agreement shall be deemed duly given upon receipt and sufficient only if personally delivered, delivered by a nationally-recognized commercial over night courier service with tracking capabilities or mailed, postage or charges prepaid, by certified or registered first-class mail, return receipt requested to a party at the respective address set forth in the preamble to this Agreement and to the attention of the following persons: if to FIDELITY, to Andy Steuer (andy@fidelityassets.com) and if to Affiliate, to your email address provided in your Affiliate setup. 11. Choice of Law. Any disputes arising under the Agreement will be governed by California law and settled by a court situated in the county of Los Angeles, without regard to conflict of law principles. Each Party will bear its own attorneys’ fees and cost of the mediation to be borne equally by both Parties. If mediation is unsuccessful, the Parties agree to resolve the dispute through arbitration to occur within Los Angeles County, California following the rules and practices of the American Arbitration Association. 12. Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties, and supersedes all previous agreements, whether written or oral, concerning the subject matter hereof. This Agreement may not be amended or supplemented except by a written document executed by the parties to this Agreement. 13. Counterparts. This Agreement may be executed in any number of separate counterparts, each of which when executed by and delivered to the other party shall be an original as against the party whose signature appears thereon, but all such counterparts shall together constitute one and the same instrument. Execution and delivery of this Agreement by exchange of facsimile copies bearing the facsimile signature of a party hereto shall also constitute a valid and binding execution and delivery of this Agreement by such party. 14. LIMITATION OF LIABILITY (a) GENERAL LIMITATION. BOTH PARTIES UNDERSTAND AND AGREE THAT NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, ARISING OUT OF OR RELATED TO THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEITHER PARTY SHALL BE LIABLE FOR ANY DELAY OR FAILURE TO PERFORM WHICH IS CAUSED BY MATTERS BEYOND ITS REASONABLE CONTROL, MECHANICAL OR ELECTRONIC BREAKDOWNS OF EQUIPMENT, BREAKDOWNS IN TELECOMMUNICATIONS FACILITIES CONTROLLED BY THIRD PARTIES, ACTS OF TERRORISM, OR ACTS OF GOD. (b) DAMAGES LIMITATION. THE MAXIMUM LIABILITY OF EACH PARTY TO THE OTHER AND THE EXCLUSIVE REMEDY AVAILABLE TO EACH PARTY IN CONNECTION WITH THIS AGREEMENT SHALL BE TO RECOVER NO MORE THAN THE CUMULATIVE AMOUNTS PAID BY EITHER PARTY TO THE OTHER THE PREVIOUS NINETY (90) DAYS DURING WHICH THEY RECEIVE SERVICE OR USE PRODUCTS UNDER THE TERM OF THIS AGREEMENT, AND/OR TO RECEIVE EQUITABLE RELIEF, (INCLUDING BUT NOT LIMITED TO INJUNCTIVE RELIEF OR SPECIFIC PERFORMANCE) AND/OR TO TERMINATE THIS AGREEMENT IN ACCORDANCE WITH SECTION 4. THE FOREGOING LIMITATION OF MONEY DAMAGES SHALL BE CALCULATED UP TO THE DATE OF SUCH TERMINATION. THE EXISTENCE OF MULTIPLE CLAIMS OR SUITS UNDER OR RELATED TO THIS AGREEMENT WILL NOT ENLARGE OR EXTEND THE LIMITATION OF MONEY DAMAGES. EACH PARTY ACKNOWLEDGES THAT OTHER PARTS OF THIS AGREEMENT RELY UPON THE INCLUSION OF THIS SECTION. Appendix A Payments will be made to Affiliate based on the following scenarios: Product Name Payment to Affiliate LOCAL CONNECT (www.localconnectnetwork.com) Sales Commissions: AFFILIATE will be compensated based on the following commission schedule: Commissions Affiliate will earn 100% of any revenue generated over $365 per sale. This amount may be called a “setup fee” or bundled into the overall price of the product. FIDELITY offers Local Connect to AFFILIATE for $365.00 per annual contract. AND Bonus Revenue AFFILIATE will earn $500 in Bonus Revenue for each set of 40 Qualified Purchases that are completed within a calendar month (for example, January 1, 2007 through January 31, 2007). A typical scenario is as follows: AFFILIATE creates a setup fee of $135 per sale, and sells LOCAL CONNECT for $500 ($365.00 plus $135 setup fee). AFFILIATE earns 100% of the $135 setup fee. AFFILIATE sells 40 sales in a calendar month at this rate, earning $5,400 ($135 x 40 sales). If AFFILIATE generates 40 sales in a calendar month, FIDELITY will pay AFFILIATE $500 in Bonus Revenue. In this scenario, AFFILIATE will have earned $5,900 for this calendar month ($5,400 in Commissions and $500 in Bonus Revenue). Bonus Revenue will only be paid if 40 sales are completed by Affiliate in a calendar month, and will not be paid to Affiliate otherwise. Note: Affiliate is responsible for paying out sales commissions to Affiliate’s sales people directly.
